1. Who we are

This website and the Kinetic BIM software (the "Service") are operated by Kinetic Build Limited, a company registered in New Zealand, trading as Kinetic BIM ("we", "us", "our"). By creating an account, starting a trial, or using the Service, you agree to these Terms.

2. Your licence

Subject to these Terms and payment of the applicable fees, we grant you a non-exclusive, non-transferable, revocable licence to install and use the Service for your internal business purposes. The licence is per seat — each seat permits use by one user. You must not sublicense, resell, share or transfer seats except as expressly permitted.

3. Accounts and seats

You are responsible for your account, your licence keys and activity under them, and for keeping them secure. You may add or remove seats at any time; changes take effect as described at clause 4.

4. Fees, billing and GST

• The Service is offered on a monthly subscription at NZ$99 per seat, per month (plus GST where applicable).
• Subscriptions are billed in advance and renew automatically each month until cancelled. Billing is processed by our payment providers (Shopify and Recharge).
• Adding seats is billed on a recurring basis; removing seats reduces future billing. See our Refund Policy.

5. Free trial

Where a free trial is offered, it is provided "as is" and may be changed or withdrawn at any time. Unless you cancel before the trial ends, a paid subscription may begin in accordance with the trial terms presented at sign-up.

6. Acceptable use

You must not misuse the Service, including by attempting to circumvent licensing or activation, reverse engineering except to the extent permitted by law, or using the Service unlawfully or to infringe others' rights.

7. Intellectual property

We and our licensors own all intellectual property in the Service. You retain ownership of your own project data and models. Nothing in these Terms transfers our intellectual property to you other than the licence granted above.

8. Availability and support

We aim to provide a reliable Service and reasonable support. Service targets are described in our Service Level Agreement. The tools run locally within Revit and continue to operate offline after activation.

9. Consumer rights

Nothing in these Terms limits rights you may have under the Consumer Guarantees Act 1993 or other New Zealand law that cannot lawfully be excluded. Where you acquire the Service for the purposes of a business, the parties agree that the Consumer Guarantees Act does not apply to the extent permitted by law.

10. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect or consequential loss, and our total liability arising from the Service is limited to the fees you paid in the three months before the event giving rise to the claim.

11. Term and termination

You may cancel at any time; your access continues until the end of the current paid period. We may suspend or terminate access for breach of these Terms or non-payment.

12. Changes

We may update these Terms from time to time. Material changes will be notified by reasonable means, and continued use after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of New Zealand, and the parties submit to the non-exclusive jurisdiction of the New Zealand courts.
